These terms govern your use of Vigilator, the human-in-the-loop service for AI agents provided by Coloop LTD, a company registered in England and Wales (company number 11837491, registered office Sportsman Farm, St. Michaels, Tenterden, United Kingdom, TN30 6SY) ("Coloop", "we", "us"). By creating an account, joining an organisation or using the service or its API you agree to these terms. If you are using Vigilator on behalf of a company or other organisation, you confirm that you have authority to bind it, and "you" means that organisation.
1. The service
Vigilator lets software agents pause and hand decisions to people, lets people review, approve, edit and reject those requests, shows live agent sessions, and records what happened. It is provided as a hosted service reached through the web application and a public HTTP API. We may change, add or remove features at any time; where a change materially reduces what a paid plan includes we will give reasonable notice.
Beta. Vigilator is in active development and is provided as a beta service. Features may be incomplete, may change without notice, and interruptions are more likely than for a mature product. Do not rely on Vigilator as the only control over an agent that can cause harm if it acts without review.
2. Accounts and organisations
You must provide accurate information when you create an account and keep it up to date. You are responsible for everything done under your account and for keeping your password, passkeys and two-factor devices secure. Tell us at once if you believe your account has been compromised.
Work in Vigilator happens inside organisations. The person who creates an organisation is its owner and can invite members, assign roles, create API keys and manage billing. Owners are responsible for the actions of their organisation's members and for any agent connected to it through an API key.
You must be at least 18 years old to use Vigilator.
3. Your agents, API keys and content
Everything an agent sends to Vigilator through your API keys, and everything your members write in it, is your content. You retain all rights to it. You grant us the licence needed to store, process, transmit and display that content in order to provide the service to you, and for no other purpose except as set out in our Privacy Policy.
You are responsible for what your agents submit. In particular you must not send us content you have no right to share, personal data you have no lawful basis to process, payment card numbers, health records, government identifiers or other special-category data, unless we have agreed to that in writing.
API keys identify your organisation. Keep them secret, rotate them if you suspect exposure, and do not embed them in client-side code.
4. Acceptable use
You must not, and must not allow your agents or members to:
- use Vigilator to plan or carry out anything unlawful, or to control agents whose purpose is unlawful, harmful or deceptive;
- probe, scan, overload or interfere with the service, its infrastructure or other customers' organisations;
- circumvent plan limits, usage metering, seat counts or access controls;
- resell or provide the service to third parties as a competing offering without our written consent;
- reverse engineer the service except where the law permits it regardless of this clause.
We may suspend access, with or without notice, where we reasonably believe an account or organisation is being used in breach of these terms or in a way that threatens the service or other customers.
5. AI features
Argus, our optional AI assistant, can summarise requests, classify them, flag risk and draft suggested decisions. Its output is generated by third-party language models and can be wrong, incomplete or misleading. It is offered to help a person decide, not to decide for them. You are responsible for every decision made in your organisation, whether or not Argus suggested it. Argus is billed on the model usage it consumes, as described on the pricing page and in the billing settings.
6. Plans, fees and billing
Vigilator offers a free Hobby plan with fixed limits, a Pro plan billed per seat per month with included usage and metered overage, optional usage-based add-ons, and enterprise arrangements agreed separately. Current prices and limits are shown on the pricing page and in your organisation's billing settings; the version shown when you subscribe applies to that subscription.
Payments are processed by Stripe through our billing provider, Autumn. By subscribing you authorise recurring charges to your payment method for the subscription and any metered usage until you cancel. Prices exclude VAT and other taxes, which are added where applicable. A Pro trial requires a payment method and converts to a paid subscription when the trial ends unless cancelled first.
You can cancel at any time from the billing settings. Cancellation takes effect at the end of the current billing period; fees already paid are not refunded except where the law requires it. If your organisation holds more members than its plan allows after a downgrade or lapse, members beyond the allowance are removed after a grace period, oldest memberships kept first.
We may change prices with at least 30 days' notice by email to the organisation's billing contact. Continuing to use a paid plan after the change takes effect means you accept the new price.
7. Availability and support
We aim to keep Vigilator available continuously but do not guarantee any particular uptime during the beta. We may take the service down for maintenance and will try to give notice for planned work. Support is provided by email at noah@vigilator.ai on a reasonable-efforts basis.
8. Intellectual property
Vigilator, its software, design, documentation and trade marks belong to Coloop or its licensors. These terms give you a limited, non-exclusive, non-transferable right to use the service during your subscription. Feedback you give us about the service may be used by us without obligation to you.
9. Confidentiality and data protection
We treat your content and organisation data as confidential and access it only to provide the service, to respond to your support requests, to investigate abuse, or where the law requires. How we handle personal data is described in the Privacy Policy, which forms part of these terms. Where your organisation submits personal data of its own users or customers, you are the controller of that data and we act as your processor for it.
10. Warranties and disclaimers
Vigilator is provided "as is" and "as available". To the fullest extent permitted by law we exclude all warranties, express or implied, including fitness for a particular purpose, and we do not warrant that the service will be uninterrupted, error-free, or that any agent connected to it will behave as intended.
11. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
Subject to that, we are not liable for any indirect or consequential loss, loss of profit, revenue, data or goodwill, or for any loss arising from an action taken or not taken by an agent, whether or not a request passed through Vigilator. Our total liability to you for all claims arising in any twelve-month period is limited to the fees you paid us in that period, or £100 if you are on a free plan.
12. Indemnity
You will indemnify us against claims, losses and costs arising from your content, your agents, your breach of these terms, or your breach of applicable law.
13. Termination
You may delete your account or organisation at any time from the settings; deleting an organisation cancels its subscriptions and permanently removes its data after a short retention period. We may terminate or suspend your access on notice if you materially breach these terms, if required by law, or if we discontinue the service, in which case we will give at least 30 days' notice and a way to export your data. Sections that by their nature should survive termination, including 8, 10, 11 and 12, do so.
14. Changes to these terms
We may update these terms. For material changes we will notify the organisation's billing contact or show a notice in the application at least 14 days before they take effect. Continuing to use Vigilator after that date means you accept the updated terms.
15. General
These terms are governed by the law of England and Wales and the courts of England and Wales have exclusive jurisdiction, without prejudice to consumer rights that apply where you live. If any part is unenforceable the rest remains in effect. These terms, the Privacy Policy and any enterprise agreement we sign with you are the whole agreement between us about Vigilator. You may not assign them without our consent; we may assign them to a successor of our business.
